Terms of Service – Dokan Cloud

These Terms of Service (“Terms”) govern your use of Dokan Cloud, a cloud-based eCommerce platform operated by Dokan Inc. (“Dokan,” “we,” “us,” or “our”). Dokan Cloud enables you to create multivendor marketplaces or standalone eCommerce shops. By creating a Dokan Cloud account or using our services, you agree to these Terms. If you don’t agree, please do not use Dokan Cloud.

You refers to the individual or business (and its affiliates) using Dokan Cloud, whether as a marketplace owner managing a multivendor platform, a vendor selling products, a standalone shop owner running a store, or a customer shopping. If acting for a business, you confirm your authority to bind it.

We may update these Terms at any time. Changes take effect when posted on dokan.co/cloud. Your continued use after changes means you accept them. For questions, contact us at [email protected].

1. About Dokan Cloud

Dokan Cloud is a SaaS platform hosted on our cloud infrastructure (e.g., Google Cloud), offering tools to build and manage eCommerce stores or multivendor marketplaces.

  • Marketplace Owner: You operate a marketplace, managing vendors, products, and orders. You handle your marketplace’s data, legal compliance (e.g., GDPR, CCPA), and customer relations.
  • Vendor: You sell products in a marketplace, managing your shop and orders.
  • Standalone Shop Owner: You run a single eCommerce store, managing products and sales.
  • Customer: You shop on a Dokan Cloud store or marketplace.

Dokan Inc. provides the platform, features (e.g., analytics, mobile apps), and support, but does not control your store’s data or transactions unless specified.

2. Account Terms

You need an account to use Dokan Cloud.

  • Registration: Provide your full legal name, business address, phone number, valid email, and required details. We may reject or cancel accounts at our discretion.
  • Eligibility: You must be 18 or the age of majority in your jurisdiction and use Dokan Cloud for business, not personal, purposes.
  • Security: Keep your password safe. You’re responsible for all account activity. Notify us at [email protected] if you suspect unauthorized access.
  • Primary Email: We’ll communicate via your provided email. Ensure it’s active for sending/receiving messages.
  • Staff Accounts: Owners can create staff accounts with permissions (e.g., limited dashboard access). You’re responsible for staff actions.
  • Accuracy: Keep account details current.

We may add security measures or suspend accounts for safety.

3. Subscriptions and Fees

Dokan Cloud uses a subscription model with monthly or yearly plans.

  • Fees: Pay Subscription Fees (based on your plan), Transaction Fees (for sales via gateways like Stripe, PayPal), and Additional Fees (e.g., apps, themes, domains). Fees are charged in your selected currency (e.g., USD, EUR) at checkout.
  • Billing: Monthly plans bill every 30 days; yearly plans bill annually, both in advance. Transaction and Additional Fees are charged as incurred. Invoices are emailed and available in your dashboard.
  • Payment Method: Keep a valid payment method (e.g., credit card) on file. If payment fails, we’ll retry for 14 days. Non-payment may lead to account suspension until the account is settled. After 30 days of non-payment, we may terminate your account.
  • Taxes: You’re responsible for taxes related to your store or Dokan Cloud use. We may charge taxes based on your billing address. Provide exemption proof if applicable.
  • No Refunds: Dokan Cloud monthly subscriptions are non-refundable. If you cancel, your shop stays live until the billing period ends. However, if you believe there’s an issue, contact us to review your case. For yearly plans, a 14-day refund policy applies—reach out to our support team for assistance
  • Fee Changes: We’ll notify you 30 days in advance via email or dashboard for fee changes.

4. Your Responsibilities

You manage your store and its operations.

  • Store Operations: Display contact info, refund policy, and fulfillment timelines on your store. Ensure compliance with laws (e.g., consumer protection, tax) in your and your customers’ regions.
  • Sales: Sales contracts are between you and your customers. You handle payments, refunds, returns, fraud, and support. Dokan isn’t the seller.
  • Content: Your materials (e.g., listings, images, trademarks) must be accurate, legal, and respect third-party rights (e.g., no copyright infringement).
  • Compliance: Follow laws like GDPR, CCPA, and obtain required licenses.
  • Checkout: Use Dokan Cloud’s checkout for all online sales.

5. User Conduct

Use Dokan Cloud lawfully. Do not:

  • Share content that violates intellectual property, is defamatory, offensive, or promotes hate, violence, or illegal acts.
  • Impersonate others, send spam, or engage in fraud or phishing.
  • Use bots, spiders, or scrapers to access Dokan Cloud.
  • Overload servers or disrupt platform operations.
  • Attempt unauthorized access to systems or user data.
  • Breach these Terms or our Acceptable Use Policy (dokan.co/cloud/policy).

Violations may lead to account suspension or termination.

6. User Generated Content

You may upload content (e.g., product listings, images) to Dokan Cloud (“User Generated Content”).

  • License: You grant Dokan Inc. a non-exclusive, royalty-free, worldwide, perpetual license to use, host, display, modify, and distribute your content to run and promote Dokan Cloud.
  • Responsibility: You’re liable for your content’s legality and accuracy. We don’t guarantee its validity or confidentiality.
  • Removal: We may remove content violating these Terms or third-party rights without notice.

7. Intellectual Property

  • Dokan’s Property: Dokan Cloud, including software, design, and trademarks (e.g., “Dokan Cloud”), is owned or licensed by Dokan Inc. You can’t use our trademarks without permission.
  • Your Property: You own your User Generated Content, subject to the license in Section 6.
  • Infringement Claims: If content on Dokan Cloud infringes your intellectual property, email [email protected]. We’ll follow our Infringing Materials Protocol.

8. Third-Party Services

Dokan Cloud integrates third-party services (e.g., Stripe, PayPal, Google Analytics, App Marketplace apps).

  • Your Risk: Use these at your own risk. We don’t control or warrant them. Review their terms and privacy policies.
  • Data Sharing: Third-party services may access your data (e.g., customer info) for functionality. You consent to this.
  • Experts Marketplace: Hire experts for store setup. Your relationship with experts is direct; we’re not liable for disputes.
  • Revenue Share: We may earn from third-party providers you use.

9. Privacy and Data Protection

We protect personal information per our Privacy Policy (dokan.co/cloud/privacy).

  • Your Role: Owners ensure their store’s data complies with laws (e.g., GDPR, CCPA).
  • Our Role: When processing customer data for you (e.g., analytics), we follow our Data Processing Addendum (available on request).

10. Disclaimers and Liability

  • As-Is: Dokan Cloud is provided “as is” without warranties, express or implied (e.g., merchantability, fitness, non-infringement). We don’t guarantee uninterrupted or error-free service.
  • Liability: To the extent permitted by law, Dokan Inc. isn’t liable for direct, indirect, incidental, or consequential damages (e.g., lost profits, data) from Dokan Cloud use, even if advised of such risks.
  • Indemnity: You indemnify Dokan Inc. against claims, losses, or damages from your breach of Terms, legal violations, or third-party rights issues.

11. Termination

  • Cancellation: You can cancel your account by emailing [email protected] and following the instructions. You’re liable for fees until cancellation.
  • Our Termination: We may suspend or terminate accounts for violations (e.g., fraud, abuse, security risks) without notice.
  • Effects: Termination ends access, takes your store offline, and requires payment of any outstanding fees. Domains connected via Dokan Cloud will not auto-renew; renewal is the responsibility of your domain provider. Dokan Cloud does not sell domains.

12. Changes to Terms

We may update these Terms. Material changes will be notified 30 days in advance via email or dashboard, unless for legal, security, or fraud reasons. Continued use after changes means acceptance.

13. General Terms

  • Entire Agreement: These Terms, along with our Privacy Policy, form the full agreement and replace any prior agreements.
  • Governing Law: Governed by Delaware, USA laws. Disputes go to Delaware courts.
  • No Waiver: If we don’t enforce a right or rule right away, it doesn’t mean we give it up, we can still choose to enforce it later.
  • Assignment: You need our consent to assign the Terms. We may assign without notice.
  • Severability: Invalid provisions don’t affect others.
  • Survival: Sections 6, 7, 8, 9, 10, 11, 13 survive termination.
